Incorporation
- The most common question I receive from new entrepreneurs is, “Should I incorporate?” Answering that question requires a review of the nature of the business, the objectives and personal situations of the business owners, the financial requirements of the business,and the likelihood of success of the business.
- Corporations are creatures of statute: they only exist because and pursuant to the terms of our business corporations acts. Those same acts require that corporations be properly organized, and that accurate corporate records be maintained.
Shareholder Agreements
Shareholder agreements (or partnership agreements in the absence of a corporation) are recommended when the business is owned by more than one individual. They typically address financing, management, sale and other exit provisions, but should always be tailored to the situation.
